Terms & Conditions

• “Account” means the account created by you to access the Platform.
• “Customer”, “you”, or “your” means the individual or legal entity using the Platform.
• “Content” means text, images, videos, graphics, captions, documents, social media posts, data and other materials submitted to or processed through the Platform.
• “Customer Content” means Content provided, uploaded or submitted by you or on your behalf.
• “Social Media Account” means any social media or third-party account connected to the Platform.
• “Subscription” means the paid or free subscription plan selected by you.
• “User” means any person authorized by you to access your account or workspace.

You may use the Platform only if you are legally capable of entering into a binding agreement and you have authority to accept these Terms on behalf of an organization, where applicable.

If you are accepting these Terms on behalf of a company or organization, you represent that you have authority to bind that organization.

You may be required to create an account to use certain features. You agree to:

• Provide accurate information
• Keep your login credentials confidential
• Maintain the security of your account
• Notify us of unauthorized access
• Ensure that users added to your workspace are authorized

You are responsible for activity occurring through your account unless caused by a security failure attributable to Denary Media.

The Platform may offer free trials, free plans and/or paid subscription plans. Features, usage limits, number of connected accounts, storage, users and other limits may vary according to your selected plan.

We may change plans or features from time to time. Any material change affecting existing paid subscriptions will be communicated in accordance with applicable law and the applicable subscription terms.

• Trial duration will be specified at signup.
• Certain features may be restricted.
• We may impose usage limits.
• Trial accounts may expire or be deleted after the trial period.
• Unless expressly stated, a free trial does not create an obligation to continue providing free access.

If payment details are collected for a trial, the applicable billing terms will be displayed before conversion to a paid subscription.

Paid subscriptions are subject to the fees displayed at the time of purchase. Unless otherwise stated:

• Fees are payable in advance.
• Taxes may be added as required by law.
• Payments may be processed through third-party payment providers.
• Subscription fees are generally non-refundable except where required by law or expressly stated otherwise.

If payment fails, we may suspend or restrict access to paid features after providing reasonable notice where appropriate.

You may cancel your subscription according to the cancellation process provided through the Platform. Unless otherwise specified, cancellation will generally prevent renewal at the end of the current billing period.

Cancellation does not automatically entitle you to a refund for the unused portion of a billing period unless required by applicable law or stated in your subscription terms.

The Platform allows you to connect third-party social media accounts. You authorize Denary Media to access those accounts to the extent necessary to provide the Services and according to the permissions granted by the relevant platform. You represent that:

• You have authority to connect the account.
• You have authority to publish content through the account.
• You have obtained any necessary client authorization.
• Your use complies with the relevant platform’s policies.

We do not guarantee uninterrupted access to third-party social media services. Third-party platforms may change their APIs, change publishing rules, restrict functionality, revoke permissions, suspend accounts, remove features or experience outages. Denary Media is not responsible for failures caused by such third-party platforms.

The Platform may allow you to schedule content for publication at a future date or time. While we make reasonable efforts to publish scheduled content according to your instructions, we do not guarantee that every post will be published. Publication may fail because of:

• Third-party API restrictions
• Social media platform outages
• Expired or revoked authorization
• Incorrect account permissions
• Platform policy restrictions
• Unsupported media formats
• Content violations
• Network failures
• Technical issues
• Changes made by third-party platforms

You remain responsible for reviewing scheduled content and ensuring that it is appropriate for publication.

You retain ownership of your Customer Content.

You grant Denary Media a limited, worldwide, non-exclusive, royalty-free license to host, reproduce, transmit, process, display and otherwise use Customer Content solely as necessary to provide the Services, publish scheduled content, process analytics, facilitate collaboration, provide customer support, maintain security, improve Platform functionality and comply with legal obligations.

We do not acquire ownership of your Customer Content.

You are solely responsible for Customer Content. You represent and warrant that you have all necessary rights, licenses, permissions and consents to upload, store, publish and distribute your content through the Platform. You must not upload or publish content that:

• Infringes copyright or violates trademarks
• Violates privacy rights
• Contains unlawful material
• Is fraudulent or deceptive
• Contains malicious software
• Violates applicable advertising laws
• Violates social media platform policies
• Promotes unlawful activity
• Harasses, threatens or abuses individuals
• Contains unauthorized personal information
• Violates applicable regulations

• Break the law
• Circumvent social media platform restrictions
• Gain unauthorized access to accounts
• Interfere with Platform security
• Reverse engineer the Platform except where legally permitted
• Copy or reproduce the Platform without authorization
• Sell or sublicense access without permission
• Upload malicious code
• Attempt to access another user’s account
• Scrape the Platform without authorization
• Abuse APIs
• Conduct fraudulent activities
• Send spam or unlawful communications
• Store unlawful content

Where the Platform supports team members, agencies or client workspaces, the account administrator is responsible for inviting appropriate users, assigning permissions, removing users who should no longer have access, managing connected social accounts and ensuring that team members comply with these Terms.

Denary Media is not responsible for disputes between an agency, client, employee, contractor or other workspace user concerning ownership or access rights.

The Platform may provide analytics and reporting based on information received from connected social media platforms. Analytics may include reach, impressions, engagement, followers, views, likes, comments, shares, clicks and other available metrics.

Analytics depend on information supplied by third-party platforms. We do not guarantee that analytics will always be complete, accurate, real-time or available.

The Platform may integrate with third-party services. Your use of those services may be governed by separate terms and privacy policies.

We do not control third-party services and are not responsible for their availability, security, content, policies, API changes, actions or failures.

The Platform, including its software, code, design, interface, branding, logos, documentation, features, workflows, databases and technology, is owned by or licensed to Denary Media and is protected by applicable intellectual property laws.

Except for the limited right to use the Platform under these Terms, no ownership rights are transferred to you. You may not copy, reproduce, modify, distribute, sell, lease or commercially exploit the Platform except as expressly permitted.

If you provide suggestions, ideas, recommendations or feedback regarding the Platform, you grant Denary Media the right to use such feedback without restriction or compensation, provided that such use does not disclose your confidential information.

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, store and process personal information.

We implement reasonable technical and organizational measures designed to protect the Platform and information processed through it. However, you acknowledge that no online service can guarantee absolute security. You are responsible for maintaining appropriate security practices for your account and connected third-party accounts.

We will make reasonable efforts to keep the Platform available. However, we do not guarantee that the Platform will be available at all times, be uninterrupted, be error-free, be compatible with every device, remain unchanged, or support every third-party platform indefinitely.

We may temporarily suspend access for maintenance, upgrades, security incidents, technical problems or other legitimate reasons.

To the maximum extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis. Denary Media does not guarantee that:

• The Platform will meet every requirement
• Scheduled content will always publish successfully
• Analytics will always be accurate
• Third-party integrations will remain available
• The Platform will be completely uninterrupted or error-free
• The Platform will produce any particular business or marketing results

You use the Platform at your own discretion and risk.

To the maximum extent permitted by applicable law, Denary Media shall not be liable for indirect, incidental, special, consequential or punitive damages, including loss of revenue, profits, business opportunities, data, reputation, goodwill or expected savings, arising from your use or inability to use the Platform.

To the maximum extent permitted by applicable law, Denary Media’s aggregate liability arising out of or relating to the Services shall not exceed the fees actually paid by you to Denary Media for the Services during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

You agree to defend, indemnify and hold harmless Denary Media, its directors, officers, employees, contractors and affiliates from claims, damages, liabilities, losses and expenses arising from:

• Your Customer Content
• Your violation of these Terms
• Your violation of applicable law
• Your violation of third-party rights
• Your misuse of the Platform
• Unauthorized access caused by your actions or failure to secure your account
• Your use of connected social media accounts

• You materially breach these Terms
• Your use creates a security risk
• You engage in fraudulent or unlawful activity
• You fail to pay applicable fees
• You misuse the Platform
• Required by law
• Continued access could expose Denary Media or others to legal or security risks

Where reasonably possible, we may provide notice and an opportunity to remedy the violation.

• Your right to use the Platform will end.
• Access to connected accounts may be revoked.
• Scheduled posts may no longer be published.
• Customer Content may become inaccessible after the applicable retention period.
• Outstanding payment obligations will remain payable.

You should export or download any information you wish to retain before terminating your account.

We may modify, enhance, replace or discontinue features of the Platform from time to time. We may also introduce new functionality, plans or limitations. Where a change materially affects your paid subscription or contractual rights, we will provide notice where required by applicable law.

We may update these Terms periodically. The updated Terms will be posted on the Platform with a revised “Last Updated” date. Where required by law, we may notify you of material changes through email or another appropriate method.

Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms to the extent permitted by law.

These Terms shall be governed by and interpreted in accordance with the laws of India. Subject to any mandatory rights available to you under applicable law, courts located in Hyderabad, Telangana, India shall have jurisdiction over disputes arising from or relating to these Terms.

Before commencing formal legal proceedings, the parties will attempt in good faith to resolve disputes through discussion and negotiation. If the dispute cannot be resolved through negotiation, the parties may pursue available legal remedies in accordance with applicable law.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified or removed to the minimum extent necessary, and the remaining provisions shall continue in effect.

Failure by Denary Media to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision later.

These Terms, together with the Privacy Policy and any applicable subscription, order form or service agreement, constitute the entire agreement between you and Denary Media regarding your use of the Platform.
